The record in brief

Ohio's regime ran through the Governor's declaration (Executive Order 2020-01D, March 9, 2020, Ex. OH-001) and a chain of Ohio Department of Health Director's Orders issued under R.C. 3701.13, each enforceable under R.C. 3701.352 and 3701.99(C) as a second-degree misdemeanor (fine up to $750, up to 90 days in jail) and by every board of health, police officer and sheriff under R.C. 3701.56. The run-up to the second quarter of 2020 closed Ohio in nine days: mass gatherings of 100 or more were prohibited on March 12 (OH-002); every K-12 school building was closed to students from 12:01 a.m. March 17 (OH-003); restaurants and bars were limited to carry-out and delivery from 9:00 p.m. March 15, 'No onsite consumption is permitted' (OH-004); the March 17 amended gatherings order cut the threshold to 50 and closed bowling alleys, gyms, fitness centers, trampoline parks, water parks, movie and performance theaters and recreation centers (OH-006); non-essential surgeries and procedures were barred from 5:00 p.m. March 18 (OH-007); salons, barber shops, tattoo parlors and massage locations were closed March 19, senior centers, adult day services and family entertainment centers March 21, and child care outside a Temporary Pandemic Child Care License March 24 (recited in OH-019 at 5 and 13; EO 2020-04D, OH-065; EO 2020-07D, OH-066); and the Director's Stay at Home Order of March 22 (OH-011), effective 11:59 p.m. March 23, ordered 'all individuals currently living within the State of Ohio... to stay at home,' required that 'All businesses and operations in the State, except Essential Businesses and Operations... cease all activities within the State except Minimum Basic Operations,' prohibited every gathering of more than ten people, permitted only Essential Travel, and directed every business to 'Allow as many employees as possible to work from home by implementing policies in areas such as teleworking and video conferencing.' The Amended Stay at Home Order of April 2 (OH-014) extended the regime through May 1, asked persons entering Ohio to self-quarantine for fourteen days, and added the penalty paragraph. HB 197 (March 27, OH-012) tolled every statute of limitations and civil, criminal and administrative deadline from March 9 to July 30, 2020 and extended every State and local license expiring in the emergency; the Supreme Court of Ohio tolled its rules the same day (OH-013). 2020 Q2 therefore opened under a full stay-home order and closed under a reopened but conditioned economy: the Stay Safe Ohio Order of April 30 (OH-019) kept the stay-home command until May 20 (rescinded by OH-097), reopened health care procedures from 11:59 p.m. April 30, manufacturing, distribution, construction and general offices from May 4 ('Businesses should strongly encourage as many employees as possible to work from home'), retail from May 12, and made employee facial coverings mandatory; the Dine Safe Ohio Order (OH-020) allowed outdoor dining May 15 and seated indoor dining May 21 with ten per table and no congregate areas; personal services reopened May 15 (OH-021), gyms May 26 (OH-023), child care May 31 under reduced ratios (OH-024); the Updated and Revised Order for Business Guidance and Social Distancing of May 29 (OH-025) carried the ten-person gathering prohibition and mandatory sector checklists forward; K-12 buildings stayed closed to students through June 30 (OH-018, OH-080); nursing homes were closed to visitors (OH-009, OH-036) and staff testing was ordered from May 27 (OH-079). 2020 Q3 added the county mask orders of July 8 and 17 (OH-029, OH-081), the statewide Director's Order for Facial Coverings of July 23 (OH-030, indoors, outdoors within six feet, and on transit, with a business-policy exception), the Liquor Control Commission's emergency Rule 80 (sales cease 10:00 p.m., consumption 11:00 p.m., July 31 to November 29, 2020; EO 2020-30D, OH-031; Highland Tavern, OH-091), the K-12 facial-covering order of August 13 (OH-032), the sports order of August 19 (OH-033), the entertainment-venue order of August 25 at 15 percent of fixed seating or 300 patrons (OH-034), county fairs limited to junior fair activities with a 10:00 p.m. fairground curfew (OH-099), and the Third Amended Dine Safe Order of September 23 (OH-035). The winter re-tightening of 2020 Q4 was statewide and enforceable: the Retail and Business Compliance order of November 13 (OH-037) provided that no retailer 'shall be open for business or operate unless in compliance,' created the Bureau of Workers' Compensation Retail Compliance Unit and ordered closure of the premises 'for a period not exceeding twenty-four hours' upon a notice of violation; the Revised Mass Gatherings order of November 15 (OH-038) confined banquets to seated, served, masked, ten-per-table events; and the Stay at Home Tonight curfew of November 19 (OH-039) ordered every Ohioan to a place of residence from 10:00 p.m. to 5:00 a.m., renewed December 10 (OH-040), December 30 (OH-104) and January 22, 2021 (OH-041), moved to 11:00 p.m. from January 28 (OH-042) and expired at 12:01 p.m. February 11, 2021. 2021 Q1 kept masks, the ten-person gathering prohibition, seated dining, the 300-person banquet cap (lifted March 2, OH-043), 25 percent indoor and 30 percent outdoor venue capacity from March 2 (OH-044), K-12 masks, nursing-home and residential-care testing and visitation orders (OH-102, OH-075), and the retail compliance regime. On April 5, 2021 the Director rescinded eighteen orders (OH-046) and replaced them the same day with the consolidated Order for Social Distancing, Facial Coverings and Non-Congregating (OH-070; amended April 8, OH-047), which kept the indoor mask mandate, 25 percent of fixed-seating capacity, seated food and drink service at tables six feet apart with no more than ten persons, and the K-12 order. The Second Amended order of May 17 (OH-048) exempted fully vaccinated persons and, by its own paragraph 14, expired at 12:01 a.m. June 2, 2021, when the Director also rescinded the K-12 mask, retail compliance, senior center and adult day orders (OH-050). Nursing-home and residential-care visitation orders were rescinded at 12:01 p.m. June 18, 2021 (OH-051), the state of emergency ended the same day (EO 2021-08D, OH-052), and SB 22 (OH-045), passed over the Governor's veto March 24, 2021 and effective June 23, 2021, subjected every future health order to legislative rescission and confined local boards of health to orders on diagnosed or exposed individuals. What remained in force through 2021 Q3 at the State level: the Director's Amended Orders for the Testing of the Residents and Staff of all Nursing Homes and of all Residential Care Facilities of May 4, 2021 (OH-049, OH-071; unvaccinated staff tested twice weekly; rescinded only July 1, 2022, OH-073), the reporting journal entries under R.C. 3701.14 and 3701.23 (OH-072), the SB 22 oversight regime, and the school quarantine architecture of August 31, 2021 (OH-084) executed by local health departments under R.C. 3707.08; at the local level, Dayton's indoor mask ordinance adopted September 15, 2021 and effective 8:00 a.m.

What remained in force

OH-049, OH-071), rescinded effective July 1, 2022 (Ex. OH-073); the Seventh Amended Order to Permit Access to Ohio's Nursing Homes and the Amended Order to Permit Access to Residential Care Facilities (March 22, 2021; Ex. OH-075), rescinded at 12:01 p.m. June 18, 2021 (Ex. OH-051); the Director's Order to Facilities to Notify Residents of Positive Cases (Ex. OH-017) and other orders tied to the state of emergency, which ended June 18, 2021 (EO 2021-08D, Ex. OH-052); the Director's Journal Entry on COVID-19 reporting requirements under R.C. 3701.14 and 3701.23 (Ex. OH-072); SB 22 (effective June 23, 2021; Ex. Preemption of local orders

Ohio did not preempt local COVID-19 orders during the ERC period. The Director's orders expressly preserved stricter local law: the Stay at Home Tonight order states that it 'is not intended to supersede, supplant or preempt any order or law of a local jurisdiction that is more restrictive than this Order' (Ex. OH-039 para. 5), and the Second Amended Social Distancing order of May 17, 2021 repeats the clause (Ex. OH-048, preamble). The entertainment-venue and sports orders invited 'local public officials' to impose 'additional and more restrictive limitations' (Ex. OH-034 para. 1; Ex. OH-033 para. 1). Dayton, Columbus, Cincinnati and Cleveland enacted mask ordinances in July 2020 before the statewide order (Dayton adopted July 2, 2020, effective 8:00 a.m. July 3, 2020, repealed May 20, 2021; verified_secondary). SB 22, effective June 23, 2021 (Ex. OH-045), changed the allocation of authority prospectively: the General Assembly may rescind any ODH special or standing order by concurrent resolution (R.C. 101.36), an emergency declaration lapses after thirty days without legislative extension (R.C. 107.42), and a board of health of a city or general health district 'may only issue a quarantine or isolation order... that applies to individuals who have been medically diagnosed with the disease... or individuals who have come in direct contact with someone who has been medically diagnosed' (R.C. 3707.11), with any class-wide board-of-health order 'invalid' (R.C. 3707.54, 3709.212). SB 22 did not reach municipal legislative ordinances; Dayton's City Commission adopted an indoor mask ordinance on September 15, 2021 (Ex. OH-094, OH-095) and Columbus City Council acted the same week (metro CMH). HB 244 (Ex. OH-064), effective October 13, 2021 (after the period), barred public schools and State institutions of higher education from requiring a vaccine lacking full FDA approval.

None issued by the State for health-care workers or State employees; nursing-home and residential-care orders tied testing frequency to vaccination status from Mar. 22, 2021 (OH-075, OH-049, OH-071); HB 244 (signed July 14, 2021; effective Oct. 13, 2021) barred public schools and State universities from requiring vaccines without full FDA approval (OH-064).

Standing duties

The statutes, codes and penalty provisions of Ohio that stood before March 2020 and ran through every claimable quarter. They are the reason nothing an employer did under the orders was voluntary. Read the Ohio duties →

Ohio governed the pandemic through the Governor's Executive Order 2020-01D of March 9, 2020 (Ex. OH-001) and a chain of Director's Orders of the Ohio Department of Health issued under R.C. 3701.13. The version of R.C. 3701.13 in force from September 29, 2013 through June 22, 2021 (Ex. DUT-OH-001) gave the Department 'ultimate authority in matters of quarantine and isolation, which it may declare and enforce' and the power to 'make special or standing orders or rules... for preventing the spread of contagious or infectious diseases'; R.C. 3701.14(A) (Ex. DUT-OH-003) commanded the Director to 'take prompt action to control and suppress' epidemic and pandemic disease and made 'the sanitary conditions and effects of localities and employments' a subject of the Director's duty. Sub. S.B. 22 (Ex. OH-045), passed over the Governor's veto on March 24, 2021 and effective June 23, 2021, rewrote R.C. 3701.13 (Ex. DUT-OH-002) to subject the Department's 'special or standing orders or rules for preventing the spread of contagious or infectious diseases' to legislative rescission under new R.C. 101.36, and confined local boards of health to orders on diagnosed or exposed individuals; the power itself survived, and the nursing-home and residential-care testing orders issued under it ran to July 1, 2022 (Exs. OH-049, OH-071, OH-073). The compulsion behind every order was criminal: R.C. 3701.352 (Ex. DUT-OH-004) forbade any person to violate any Department rule or order issued 'to prevent a threat to the public caused by a pandemic, epidemic, or bioterrorism event'; R.C. 3701.99(C) (Ex. DUT-OH-005) made the violation a misdemeanor of the second degree (up to ninety days and $750, R.C. 2929.24(A)(2), 2929.28(A)(2)(a)(ii), as every order recited from April 2, 2020, Ex. OH-014 para. 18); R.C. 3701.56 (Ex. DUT-OH-006) commanded boards of health, 'police officers, sheriffs, constables, and other officers and employees of the state or any county, city, or township' to enforce quarantine and isolation orders and the Department's rules; and R.C. 3701.28 (Ex. DUT-OH-016) let the Director authorize State officers to enforce the orders where local authorities did not, the authority the Director invoked to make the Bureau of Workers' Compensation Retail Compliance Unit an inspecting and enforcing arm of the Department (Ex. OH-037 para. 12). The local layer carried its own commands and penalties: boards of health 'shall abate and remove all nuisances,' may 'by order, compel the owners, agents, assignees, occupants, or tenants of any lot, property, building, or structure to abate and remove any nuisance therein,' and may declare any 'premises, business, pursuit' in 'a condition dangerous to life or health' a public nuisance and order it 'removed, abated, suspended, altered, or otherwise improved or purified' (R.C. 3707.01, Ex. DUT-OH-008); 'No person shall violate... any order or regulation of the board of health' (R.C. 3707.48, Ex. DUT-OH-009; penalty R.C. 3707.99(B), Ex. DUT-OH-010); general health districts may adopt orders 'for the public health, the prevention or restriction of disease' and declare them emergency measures in epidemics (R.C. 3709.21, Ex. DUT-OH-011; penalty of $100 or ninety days under R.C. 3709.99(A), Ex. DUT-OH-012, with the twenty-day cure period suspended in an epidemic). Two standing duties reached the employer's premises directly and independently of any order. R.C. 3701.81(C) (Ex. DUT-OH-007), a criminal statute since 1974, forbids any person 'having charge of a... place of public accommodation, amusement, resort, or trade' who has reasonable cause to believe that persons using the place 'have been or are being exposed to a dangerous, contagious disease' to 'negligently fail to take reasonable measures to protect the public from exposure to the contagion'; the penalty is the same second-degree misdemeanor (R.C. 3701.99(C)). R.C. 4101.11 and 4101.12 (Exs. DUT-OH-013, DUT-OH-014), the 'frequenter statutes' in force since 1953, command every employer to furnish a place of employment 'safe for the employees therein and for frequenters thereof,' to 'adopt and use methods and processes, follow and obey orders,' and to 'do every other thing reasonably necessary to protect the life, health, safety, and welfare of such employees and frequenters,' and forbid any employer to 'fail to obey and follow orders' or to 'occupy, or maintain any place of employment that is not safe'; the Supreme Court of Ohio holds that the statute codifies the common-law duty of an owner or occupier to invitees, 'requiring that the premises be kept in a reasonably safe condition' (Eicher v. United States Steel Corp., 32 Ohio St.3d 248 (1987), Ex. DUT-OH-017). Ohio is a federal-OSHA State for private employers (its State plan, R.C. Chapter 4167, covers public employers only), so 29 U.S.C. 654(a)(1) (Ex. DUT-AL-009) supplied the federal general duty alongside R.C. 4101.11. The sanitation regime made compliance a condition of the food-service license: a licensor 'may suspend or revoke a food service operation license' for 'documented failure to maintain sanitary conditions,' and may act without prior notice where a violation 'presents an immediate danger to the public health' (R.C. 3717.49, Ex. DUT-OH-015; the parallel retail-food provision is R.C. 3717.29). The reopening orders then wrote the pandemic protocols into the condition of operating: the Stay Safe Ohio Order made every reopening 'subject to the Sector Specific COVID-19 Information and Checklist' and provided that 'Businesses must require all employees to wear facial coverings' (Ex. OH-019 paras. 8, 10-12); the Dine Safe Ohio Order permitted dine-in service only 'so long as all workplace safety standards are met' (Ex. OH-020 para. 2); the Updated and Revised Order for Business Guidance and Social Distancing of May 29, 2020, in force to April 5, 2021, provided that 'All businesses and operations shall continue to comply with Social Distancing Requirements,' that 'Business and employers are to take the following actions,' including 'Comply with all applicable guidance from the U.S. Centers for Disease Control and Prevention and the Ohio Department of Health regarding social distancing,' and wrote the sector checklists into the order in terms: 'Ensure minimum 6 feet between people, if not possible, install barriers'; 'Businesses must require all employees to wear facial coverings'; 'Employees must perform daily symptom assessment' (Ex. OH-025 paras. 2, 12-15); the Second Order to Extend of July 6, 2020 provided that the posted sector requirements 'are then to be considered incorporated by reference as if fully rewritten into the Order' (Ex. OH-098 para. 2); and the Retail and Business Compliance order of November 13, 2020 provided that no retailer 'shall be open for business or operate unless in compliance with this Order as well as all other applicable ODH Orders,' with closure of the premises for up to twenty-four hours on a notice of violation (Ex. OH-037 paras. 1, 9). The same orders record their recommendations as recommendations: 'Businesses should strongly encourage as many employees as possible to work from home' (Ex. OH-019 para. 11); 'Personnel should work from home when possible and feasible with business operations' (Ex. OH-025 para. 15). The civil-immunity act, Am. Sub. H.B. 606 (Ex. DUT-OH-020), applies retroactively from March 9, 2020 through September 30, 2021, bars civil actions for exposure to or transmission of SARS-CoV-2 'unless it is established that the exposure to, or the transmission or contraction of, any of those viruses or mutations was by reckless conduct or intentional misconduct or willful or wanton misconduct,' defines 'reckless conduct' as disregard, 'with heedless indifference to the consequences,' of 'a substantial and unjustifiable risk' of transmission (sec. 2(D)(3)), and provides that 'A government order, recommendation, or guideline shall neither create nor be construed as creating a duty of care upon any person' in tort (sec. 2(B)); its Section 4 applies the act to 'acts, omissions, conduct, decisions, or compliance' in that window.

The question these duties answer

Whether the measures Ohio employers took that went beyond the four corners of the closure and stay-home orders were 'voluntary' in the sense of Notice 2021-20 Q&A-14 (an employer that suspends or reduces operations 'not due to a governmental order'). Answer: they were not. Every Ohio reopening order let a business operate only on conditions ('may reopen, subject to the Sector Specific COVID-19 Information and Checklist,' Ex. OH-019 para. 10; 'permitted to reopen... so long as all workplace safety standards are met,' Ex. OH-020 para. 2; 'no store, retail business or other enterprise in Ohio offering goods in person to the public... shall be open for business or operate unless in compliance with this Order,' Ex. OH-037 para. 1), and R.C. 3701.352 made violation of any such order a crime: 'No person shall violate any rule the director of health or department of health adopts or any order the director or department of health issues under this chapter to prevent a threat to the public caused by a pandemic, epidemic, or bioterrorism event' (Ex. DUT-OH-004), a misdemeanor of the second degree under R.C. 3701.99(C) (Ex. DUT-OH-005), enforceable by every board of health, police officer, sheriff and constable under R.C. 3701.56 (Ex. DUT-OH-006). Throughout all six quarters R.C. 4101.11 bound every employer to furnish a place of employment 'safe for the employees therein and for frequenters thereof,' to 'follow and obey orders' and to 'do every other thing reasonably necessary to protect the life, health, safety, and welfare of such employees and frequenters' (Ex. DUT-OH-013), R.C. 3701.81(C) bound every person having charge of a 'place of public accommodation, amusement, resort, or trade' to 'take reasonable measures to protect the public from exposure to the contagion' (Ex. DUT-OH-007), and the boards of health held the power to declare any 'premises, business, pursuit' in 'a condition dangerous to life or health' a public nuisance and order it 'suspended' (Ex. DUT-OH-008). Ohio's civil-immunity act, Am. Sub. H.B. 606, is recorded exactly as written: it conditions the shield on the absence of 'reckless conduct or intentional misconduct or willful or wanton misconduct' and, unlike the Texas and Georgia acts, provides that a government order, recommendation or guideline 'shall neither create nor be construed as creating a duty of care' in tort (Ex. DUT-OH-020 secs. 2(A), 2(B)); the act governs tort exposure only, leaves the criminal duties of R.C. 3701.352 and 3707.48 and the statutory duty of R.C. 4101.11 untouched, and by its own Section 4 applies to the 'compliance' of Ohio businesses from March 9, 2020 through September 30, 2021.
